Welcome to SeedBridgeVC.com (“Site”, “we”, “us”, or “our”). These Terms of Service (“Terms”) govern your access to and use of the Site and the services provided through it (collectively, the “Service”). By using our Site, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Service.

1. Service Overview

SeedBridgeVC.com allows startups (“Users”, “you”, or “your”) to submit their startup pitch for review. If approved, your pitch may be distributed to a network of venture capital firms (“VCs”) that align with your funding goals. Upon approval, you agree to pay a non-refundable $50 fee and agree to grant 1% equity in your company only if you receive funding through our introduction.

2. Eligibility

You must be at least 18 years old and have the authority to legally bind your company to these Terms. By submitting a pitch, you represent and warrant that all information provided is accurate, complete, and truthful.

3. Pitch Submissions

• You may submit your pitch through our platform.

• Submission does not guarantee approval, distribution to VCs, or funding.

• We reserve the right to approve or reject any submission at our sole discretion.

4. Fees

• If your pitch is approved, a non-refundable $50 fee is required to proceed.

• Payment must be completed before your pitch is shared with any VCs.

• Failure to pay the fee within a reasonable time may result in cancellation of your approval.

5. Equity Agreement

By using the Service and submitting your pitch, you agree that:

• If you receive funding from any VC introduced to you through our Service within 18 months of the introduction, you will grant SeedBridgeVC or its designee 1% equity in your company on the same terms as the VC investment.

• This equity is typically in the form of standard common shares or equivalent, subject to mutual agreement and standard legal documentation.

6. No Guarantee of Funding

SeedBridgeVC does not guarantee that you will be contacted by or receive funding from any VC. We are not liable for any decisions made by third-party investors or the outcome of any introductions.

7. Intellectual Property

You retain all rights to your pitch materials. By submitting your pitch, you grant us a limited, non-exclusive license to use your pitch materials solely for the purpose of evaluating and sharing with potential investors.

8. Confidentiality

We take reasonable measures to ensure your pitch materials are only shared with relevant and verified VCs. However, we do not guarantee absolute confidentiality and are not liable for any unauthorized disclosure by third parties.

9. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, SeedBridgeVC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

11. Indemnification

You agree to indemnify and hold harmless SeedBridgeVC and its affiliates from any claims, liabilities, damages, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

12. Modifications

We may update these Terms from time to time. Changes will be effective upon posting on the Site. Your continued use of the Service constitutes your acceptance of the revised Terms.

13. Governing Law
